New Delhi, Jan. 27: Dabur India Ltd today acquired Balsara Hygiene and Home Products business for Rs 143 crore in an all-cash deal.
Dabur India will acquire the entire stake of the promoters in three Balsara companies ? 99.4 per cent in Balsara Hygiene Products, 100 per cent in Balsara Home Products and 97.9 per cent in Besta Cosmetics Ltd. The company will soon seek shareholders? approval for the deal.
The Balsara group owns oral care brands like Promise, Babool, Meswak and mosquito repellents like Odomos and household products like Odonil and Odopic. All these combine contribute to Rs 200 crore revenue to the group.
Dabur India group director P. D. Narang said, ?This acquisition is part of our inorganic growth strategy for which we had planned in advance with necessary funds. The entire acquisition is funded through internal accruals.?
Ambit Corporate Finance was the exclusive financial adviser to the transaction. The due diligence on the transaction was done by PricewaterhouseCoopers, AZB and Partners and Accenture.
Commenting on the synergy with the acquired Balsara group of companies, Dabur India chief executive officer Sunil Duggal said, ?Balsara has a strong range of brands that fit in well with our growth plans in India and abroad. Its range of oral care products will largely fit under the Dabur brand name, further strengthening our existing position as the largest player in the oral care market in India.?
Dabur also announced a consolidated third-quarter net profit of Rs 47.19 crore against Rs 33.27crore.
