Calcutta, April 26 :
Philips India Ltd has decided to sell its non-ceramic passive components unit at Loni in Pune to B.C. Components India Pvt Ltd for Rs 32.5 crore.
The unit will be sold as a ?going concern?. Philips India and B.C. Components India signed the agreement on April 22.
Philips will seek shareholders? approval for the sale at its annual general meeting on May 28.
At its EGM last year, Philips had to drop a resolution on the sale of the Loni unit.
The non-ceramic passive components unit employs about 700 people. The unit contributed about 5 per cent of Philips? sales turnover in 1998.
The division is engaged in the manufacture of a range of conventional and non-ceramic passive components like resistors and film capacitors used in various industries such as automobiles, telecom and consumer electronics.
B.C. Components India Pvt Ltd is the proposed subsidiary of B.C. Components International B.V. of the Netherlands.
A company spokesperson said, ?In keeping with its overall strategy of pursuing high-volume electronics, the Netherlands-based Royal Philips Electronics (RPE) announced in September 1999 its decision to focus on ceramic components for use in high-volume electronic applications, which is part of Philips Components. In view of this business strategy,
RPE has announced its intention to divest its non-ceramic passive components business group as going concern.?
B.C. Components International is engaged in the non-ceramic passive components business on a global basis and has effective research and development facilities. The units in Austria, Belgium, Brazil, China, France, Germany, the Netherlands, the UK, the US, Taiwan and India, employ around 5,000 people.
